Terms of Service
Last updated: October 7, 2026
These Terms of Service ("Terms") govern your use of this website and the marketing services provided by Natural Nutrition LLC, a Wyoming limited liability company ("Natural Nutrition", "we", "us" or "our"). By using this website or engaging us for services, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you are authorized to bind that business, and "you" refers to it.
1. Our services
We provide marketing services to direct-to-consumer brands in the supplements and wellness, beauty and skincare, and food and beverage categories, including subscription brands. Our services include paid social and search advertising, email and SMS marketing, conversion rate optimization and web development, and creative and content production.
The specific scope, deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or service agreement (an "Agreement") that you accept before work begins. If an Agreement conflicts with these Terms, the Agreement controls. Changes to scope must be agreed in writing, which may include email.
Our services are offered to businesses only. They are not offered to consumers for personal, family or household purposes.
2. Your responsibilities
To let us deliver the services, you agree to:
- Give us accurate information and timely access to the accounts, data, assets and approvals we need, such as ad accounts, analytics, your ecommerce store and email platform
- Review and approve work within a reasonable time. Delays in access or approvals may delay delivery.
- Make sure you own or have the right to use any materials you provide to us, including logos, images, product information and customer lists
- Make sure your products, offers and marketing claims are lawful, truthful and substantiated, including under Federal Trade Commission (FTC) and, where applicable, Food and Drug Administration (FDA) rules. Final approval of all product claims rests with you.
- Make sure that you have the consents required by law, including under the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA), for email and SMS contacts you provide or that are collected on your behalf
- Follow the terms and policies of the advertising and software platforms used in your account
3. Fees, payment and refunds
Fees, billing schedule and payment terms are set out in your Agreement. Unless the Agreement says otherwise:
- Service fees are invoiced in advance and due on receipt of the invoice.
- Advertising spend is paid by you directly to the advertising platforms and is separate from our fees.
- Third-party costs we incur at your request, such as creator fees, stock assets or software, are billed to you with your prior approval.
- If an invoice is overdue, we may pause work until the balance is paid.
- Fees for a billing period are non-refundable once work for that period has begun, except where your Agreement or applicable law provides otherwise.
4. Term and cancellation
Each engagement starts on the date stated in your Agreement and runs for the initial term set out there. After the initial term it continues month-to-month until either party cancels. Unless your Agreement says otherwise, either party may cancel a month-to-month engagement with 30 days' written notice, which may be given by email. Fees for work performed up to the cancellation date remain payable.
Either party may end an engagement immediately by written notice if the other party materially breaches these Terms or the Agreement and does not fix the breach within 15 days of being notified.
When an engagement ends, we will remove our access to your accounts on request and hand over the deliverables you have paid for.
5. No guarantee of results
Marketing performance depends on many factors outside our control, including your product, pricing, inventory, competition, market conditions and the decisions of advertising platforms. We will perform the services with reasonable skill and care, but we do not guarantee any particular result, such as revenue, return on ad spend, conversion rate or customer acquisition cost. Any projections or estimates we share are good-faith estimates, not promises.
6. Third-party platforms
Our services rely on third-party platforms such as Meta, TikTok, Google, Pinterest, Klaviyo and Shopify. Your use of those platforms is governed by their own terms. We are not responsible for their actions, including ad rejections, account restrictions or suspensions, policy or algorithm changes, outages or reporting errors.
7. Ownership and intellectual property
- Your accounts and data. Your ad accounts, pixels, customer lists, analytics data and other accounts remain yours at all times.
- Your materials. You keep ownership of everything you provide to us. You give us permission to use it only to provide the services.
- Deliverables. Once you have paid in full for them, you own the final deliverables we create specifically for you, such as ad creative, copy, landing pages and email designs.
- Our tools and know-how. We keep ownership of our pre-existing materials, templates, frameworks, processes and general know-how. Where these are built into a deliverable, you receive a perpetual, non-exclusive license to use them as part of that deliverable.
- Creator content. Content from third-party creators is subject to the usage rights agreed with each creator, which we will tell you about before you approve it.
We will not name you as a client or publish your results without your written permission.
8. Confidentiality
Each party will keep confidential any non-public business, financial or technical information it receives from the other, and will use it only for the engagement. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law.
9. Use of this website
The content on this website is provided for general information only and is not legal, financial or regulatory advice. You agree not to misuse the website, including by attempting to gain unauthorized access to it, interfering with its operation or copying its content for commercial use without our permission. The website's content and design are owned by Natural Nutrition LLC.
Our Privacy Policy explains how we handle information collected through this website.
10. Disclaimer of warranties
Except as expressly stated in your Agreement, the website and services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility of such damages.
Our total liability arising out of or relating to these Terms, the website or the services will not exceed the fees you paid us for the services in the three (3) months before the event giving rise to the claim. These limits do not apply to a party's fraud or willful misconduct, or to your payment obligations.
12. Indemnification
You agree to defend, indemnify and hold harmless Natural Nutrition LLC and its members and personnel from third-party claims, losses and expenses, including reasonable attorneys' fees, arising from your products, your product and marketing claims, materials you provided to us, or your violation of these Terms or applicable law.
13. Governing law and jurisdiction
These Terms, and any dispute arising out of or relating to them, the website or the services, are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Each party agrees to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.
Before starting any legal proceeding, each party agrees to try in good faith to resolve the dispute informally by contacting the other in writing and allowing 30 days for a response.
14. General
- Entire agreement. These Terms and your Agreement are the entire agreement between us about their subject matter.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Failing to enforce a right is not a waiver of it.
- Assignment. Neither party may assign these Terms without the other's written consent, except to a successor of its business.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
- Independent contractors. We act as an independent contractor. Nothing in these Terms creates a partnership, joint venture or employment relationship.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they were last revised. Changes do not affect an Agreement already in effect unless both parties agree in writing.
